We provide AI-powered software development, intelligent automation products (including Chat BD, Invoice BD, Hire BD, Stock BD, DukanDigit, and RestoBD), ICT equipment supply, and social impact programs.

3. Use of Website & Services

3.1 Permitted Use

You may use our Website and services solely for lawful purposes and in accordance with these Terms. You agree to use our services only for personal or legitimate business purposes.

3.2 Prohibited Activities

You agree NOT to:

• Use our Website for any unlawful purpose or in violation of any applicable laws of Bangladesh
• Attempt to gain unauthorized access to any part of our systems, servers, or databases
• Transmit any harmful, offensive, defamatory, or misleading content through our platforms
• Reverse engineer, decompile, or attempt to extract source code from our software products
• Use automated tools, bots, or scrapers to access our Website without prior written permission

5. Accounts & Registration

Certain services require you to create an account. You agree to:

• Maintain the security of your account credentials and not share them with any third party
• Notify us immediately at info@ntechedge.com if you suspect any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

NTechEdge reserves the right to terminate or suspend your account at any time if we believe you have violated these Terms.

6. Payment Terms

• All prices are displayed in Bangladeshi Taka (BDT) unless otherwise stated
• Payment is accepted via bKash, Nagad, Rocket, Bank Transfer, and Card Payment
• Subscription fees are charged on a monthly or annual basis as selected at purchase
• All fees are non-refundable except as described in our Refund Policy (Document 5)
• NTechEdge reserves the right to change pricing with 30 days advance notice to existing subscribers
• Failure to pay may result in suspension or termination of services

7. Intellectual Property

All content on this Website, including but not limited to text, graphics, logos, product names, software code, designs, and documentation, is the exclusive intellectual property of NTechEdge and is protected under applicable Bangladesh laws and international intellectual property treaties.

• You may not use, copy, modify, distribute, or reproduce any of our intellectual property without prior written consent
• The names 'NTechEdge', 'Chat BD', 'Invoice BD', 'Hire BD', 'Stock BD', 'DukanDigit', 'DukanIQ', 'রক্ত', and 'RestoBD' are trademarks of NTechEdge
• Client-specific work developed under contract belongs to the client as per the signed agreement, except for underlying frameworks and tools proprietary to NTechEdge

8. Third-Party Links & Integrations

Our Website may contain links to third-party websites or integrate with third-party services (such as bKash, Facebook Messenger, WhatsApp). NTechEdge is not responsible for the content, privacy practices, or terms of any third-party service. Your use of third-party services is subject to their respective terms and policies.

9. Limitation of Liability

To the maximum extent permitted by applicable law in Bangladesh:

• NTechEdge shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you to NTechEdge in the 3 months preceding the claim
• NTechEdge is not responsible for service interruptions caused by factors beyond our control, including but not limited to internet outages, power failures, government actions, or natural disasters
• We do not guarantee that our services will be uninterrupted, error-free, or completely secure

10. Indemnification

You agree to indemnify, defend, and hold harmless NTechEdge, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your violation of these Terms; (b) your use of our services; (c) your violation of any third-party rights; or (d) any content you submit through our platforms.

11. Termination

NTechEdge reserves the right to terminate or suspend your access to our services at any time, with or without notice, for conduct that we believe: (a) violates these Terms; (b) is harmful to other users, third parties, or NTechEdge; or (c) is in violation of applicable law. Upon termination, your right to use our services ceases immediately.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any dispute arising from these Terms or your use of our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent courts of Dhaka, Bangladesh.

13. Changes to Terms

NTechEdge reserves the right to update or modify these Terms at any time. We will notify registered users via email at least 14 days before material changes take effect. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.
